1. Acceptance of Terms

Your use of Protocol constitutes your acceptance of these Terms of Service in their entirety. These terms apply to all visitors, users, and others who access or use the platform. Protocol reserves the right to modify these terms at any time. Your continued use of the site following any changes constitutes your acceptance of the new terms. 2. Use of the Platform

Protocol is a diagnostic platform designed to help property managers and developers identify and solve post-construction cleaning challenges. You agree to use this platform only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the platform.

Prohibited behaviour includes:

• Harassing or causing distress or inconvenience to any person
• Transmitting obscene or offensive content or disrupting the normal flow of dialogue within the platform
• Attempting to gain unauthorized access to our systems or networks
• Reproducing, duplicating, copying, or selling any content without explicit written permission
• Using the platform for commercial purposes without prior authorization
• Collecting or tracking personal information of others without consent

3. Intellectual Property Rights

All content on the Protocol platform—including text, graphics, logos, images, diagnostic methodologies, inspection checklists, cleaning protocols, process diagrams, and software—is the exclusive property of Protocol or its content suppliers and is protected by international copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your personal or professional reference in the construction and property management industry. You may not reproduce, distribute, transmit, display, perform, or publish any content without prior written consent from Protocol.

The Protocol name, logo, and all associated trademarks are proprietary to Protocol and may not be used without explicit permission.

4. User-Submitted Content

If you submit information, feedback, consultation requests, or other content to Protocol (including through consultation forms, contact submissions, or direct communication), you grant Protocol a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for platform improvement, service delivery, and business purposes. You represent and warrant that you own or have the right to submit such content and that it does not infringe any third-party rights.

5. Limitation of Liability

The Protocol platform and all content, services, and products are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Protocol disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Protocol shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if Protocol has been advised of the possibility of such damages.

In no event shall Protocol's total liability to you exceed the amount you have paid to Protocol in the twelve months preceding the claim, or €100, whichever is greater.

6. Disclaimers

Protocol provides diagnostic guidance and cleaning protocols based on systematic problem identification. However, Protocol does not guarantee that following these protocols will resolve all post-construction debris issues, as results depend on site-specific conditions, construction type, materials used, and implementation quality.

Protocol is not responsible for:

• Property damage resulting from cleaning procedures or debris removal
• Delays in property handover or project timelines
• Third-party contractor performance or negligence
• Unforeseen construction debris types or contamination
• Regulatory compliance or building code adherence
• Health or safety incidents arising from debris exposure or cleaning activities

Users are responsible for engaging qualified professionals, following all applicable safety regulations, and conducting site-specific assessments before implementing any cleaning or debris removal procedures.

7. Third-Party Links and Content

The Protocol platform may contain links to third-party websites, resources, or service providers. Protocol does not endorse, control, or assume responsibility for the content, accuracy, or practices of external sites. Your use of third-party services is governed by their own terms and conditions. Protocol is not liable for any loss or damage resulting from your reliance on third-party content or services.

8. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Italy, specifically the laws of the Lombardy region and the jurisdiction of Milan. Any disputes arising from these terms or your use of the Protocol platform shall be subject to the exclusive jurisdiction of the courts located in Milan, Italy. You agree to submit to the personal and exclusive jurisdiction of these courts.

9. Indemnification

You agree to indemnify, defend, and hold harmless Protocol, its owners, operators, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

10. Termination

Protocol reserves the right to suspend or terminate your access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. All provisions of these terms that by their nature should survive termination shall remain in effect.

11. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, shall be severed. The remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms of Service, together with Protocol's Privacy Policy, constitute the entire agreement between you and Protocol regarding your use of the platform and supersede all prior agreements, understandings, and negotiations, whether written or oral.
